Board Review & Approval

Board Review & Approval is where the board (or a delegated grants committee) records its decision on a grant. It produces the record of the board's exercise of discretion and control — a grantee-specific decision, never a blanket approval of "foreign grantmaking." Reach it from Grant Compliance (steps 3 and 4). One decision is recorded per grantee.

New grant vs. annual review

Choose a Review type at the top:

  • New grant — onboarding a grantee (or a material change to an existing grant).
  • Annual review — the recurring per-period review of an existing grantee. Select the prior approval being renewed or amended, so the decisions form a traceable chain.

Pick the Grantee organization (only organizations with a screening and due-diligence record on file are listed) and enter the meeting date and meeting reference.

Prerequisites

The grantee's most recent OFAC screening and due-diligence records are linked automatically as prerequisites; confirm the right ones are selected. For an annual review, also record the prior period's results: reports received vs. expected, the reconciliation status (balanced / unspent / issues), the re-screening result, and any compliance flags — each flag needs a disposition.

Proposed terms

For a new grant, record the charitable purpose for the grantee's file. Note that the grant carries no fixed amount or schedule (funding is variable, as donations are received) and the term is annual.

The exempt-purpose & control finding

The board must affirm the recorded finding — that the grant furthers the organization's own exempt purposes, that the organization retains discretion and control over the funds, and that it is not acting as a conduit for any earmarked contribution. An approval or renewal cannot be recorded unless this is affirmed.

Motion, votes, and quorum

Enter the Motion / resolution text, then record each member's vote in the Votes table: member name, board role, and a vote of Approve, Oppose, Abstain, or Recuse. A recused member must give a conflict reason and is excluded from the tally and from quorum for the item. The form shows a running tally, the number present (non-recused), and whether the configured quorum is met.

Conditions, delegation, and outcome

You can attach conditions to the decision. If the board delegates routine disbursement authority, check Authorize delegated disbursement and enter the delegation scope and an optional monthly cap — the cap is later enforced on the Disbursements page.

Choose the Outcome (for a new grant: approved, approved with conditions, deferred, or denied; for an annual review: renewed, modified, suspended, or terminated) and click Record decision. The recorded decision shows its reference ID, outcome, and whether quorum was met, and becomes the upstream anchor authorizing the agreement, disbursements, and reporting for that grantee.
